Your subscription gives you access to the Venture Shield products, materials and functionality applicable to the Protection Areas you subscribe to. Depending on the relevant area and availability, this can include contracts and clauses, policies, proposals and scopes, statements of work, commercial term sheets, IP materials, Data + AI materials, diagnostics and explainers, frameworks and other configurable legal and commercial solutions.

Venture Shield is a solution portfolio rather than unrestricted access to a generic template library. You tell us what you are trying to do and we help identify and match you with the closest appropriate solution from the portfolio. Solutions may be provided for you to edit or configure yourself, including using our AI tools, or may be compiled for you where available.

Products and materials are subject to availability and are supplied “as is” and “as available”. The subscription includes standard solutions and tools. Bespoke analysis, tailoring or advice requiring professional judgement is separately priced.

Dispute Mitigation is included with every Venture Shield subscription. It is designed to help you understand and manage issues such as late payment, breach, scope disputes, non-performance, termination, confidentiality breaches and IP misuse.

Included features may include mini-diagnostics, dispute resources, information about your contractual position and options, the ability to copy New Legal into relevant communications, and identifying when further professional support may be appropriate.

It does not include formal legal advice, negotiation, correspondence, representation or dispute handling as part of the subscription. Those services are separately instructed and charged. Copying New Legal into a communication does not itself mean New Legal has accepted an instruction to act or is providing legal advice or representation.

Corporate + Equity is a separately priced premium add-on. It covers solutions relating to areas such as founders and shareholders, ownership and equity, governance and voting, board arrangements, partnerships and joint ventures, strategic collaborations and ownership changes.

Standard tools, diagnostics, governance materials and solution matching may be included. Bespoke shareholders’ agreements, founders’ agreements, equity structuring and other tailored corporate work are separately priced.

Venture Shield provides legal and commercial products, infrastructure, tools and solutions. It is not an unlimited legal advice service or a bundle of professional-service hours.

Where your circumstances require bespoke drafting, tailoring, individual analysis, negotiation, correspondence, advice or professional judgement, we will identify this where reasonably practicable and you can instruct New Legal separately. Any separately instructed services are outside the subscription and separately priced.

Products, documents and solutions may be delivered through our sites, systems, AI tools and/or concierge service. You do not necessarily receive the entire Venture Shield portfolio or document library in one go. Certain products and documents may remain hosted on our sites or systems.

Venture Shield may use AI, automated tools, diagnostics and New Legal input to help identify issues and match you with relevant solutions. These tools do not guarantee that a particular solution is appropriate for your individual circumstances or eliminate the need for professional judgement where required. Some functionality may be described as beta and may develop or change over time.

Use of Venture Shield, including its Products, Services, Sites, AI functionality, concierge support and other subscription features, is subject to the fair usage requirements in the Terms of Service, enabling us to manage quality, capacity, misuse and risk.

Venture Shield is not unlimited legal advice, a guarantee against legal or commercial risk, or a replacement for bespoke professional work where required. It does not guarantee that every possible document or solution will be available and does not include separately priced professional services unless expressly stated.

Products and Services are for use in your business and are provided for English-law purposes only. Your subscription is also subject to the limitations, exclusions and other provisions in our Terms of Service and applicable Product Terms.
